Edgewater Technical Associates is seeking qualified candidates for a Corporate Paralegal opportunity in Lynnwood, WA. This is a permanent position that will work out of the Lynnwood office.
Work Schedule: Hybrid – 3 days in the office, 2 days remote

Job Description:
Reporting to the General Counsel, Public Company and Corporate Secretary, the Corporate Paralegal will be a member of the Company’s legal group and will support the legal team by assisting with all corporate legal matters relating to the operation of the Company and its subsidiaries.
Job Duties:
- Organize, prepare, and file Articles of Incorporation/Organization, state qualifications, organizational and related documents
- Prepare documents for transactions such as closing statements, UCC searches and filings
- File annual reports in States where corporations are incorporated and/or qualified to do business and maintain capitalization tables as well as stock and options ledgers
- Organize documents and closing books in connection with corporate transactions such as acquisitions and mergers
- Develop, monitor and update closing checklists, perform research and filings, maintain minute books (hard copy and electronic) and manage data rooms and matter files.
Qualifications:
- College degree and/or paralegal certificate
- 3-5 years’ experience as a paralegal in a legal department or law firm
- Strong skills in Microsoft Word, Excel, and Outlook
- Strong verbal, written, and interpersonal skills required.
- Strong organizational skills and attention to detail
- Ability to work independently with strong follow-up skills.
- Ability to work with a group of lawyers and manage deliverable timelines and expectations.
Preferred Knowledge and Experience
- Corporate paralegal experience
- Experience in in-house legal department
- Experience with obtaining and maintaining contractor’s licenses across the United States
- Experience with registering companies with various Secretary of State
- Experience preparing annual resolutions and director and shareholder resolutions as needed.
- Experience in corporate database entry and maintenance
- Understanding of contracts, forming subsidiaries, Mergers & Acquisitions.

Compensation:
Salary is commensurate with education, experience, and unique qualifications, and may range between $75K to $85K annually. Benefits include paid time off, health insurance, and a pre-tax 401 (k) retirement account with Company matching contributions.
