Typical Day in the Life
A typical day as a Tax Sr. Manager/Director - Mergers & Acquisitions with the National Tax Office team may include the following:
Work with Subchapters K, S, and C of the Internal Revenue Code, with a focus on the taxation of corporations
Working with a team responsible for managing all aspects of mergers and acquisitions. Advise on tax aspects of structuring mergers, acquisitions, dispositions, reorganizations, etc.
Preparing or reviewing mergers and acquisitions related tax elections, tax return statements, or tax return disclosures.
Performing and/or coordinating buy-side and sell-side tax due diligence.
Tax modeling for alternate transaction structures.
Analyzing the proper tax treatment of transaction costs.
Performing post-acquisition integration/optimization and remediation consulting.
Performing IRC section 382 analyses.
Performing tax technical research to support written tax advice.
Drafting memoranda/written tax advice for clients.
Creating templates for mergers & acquisition related work-papers or deliverables.
Develops business by expanding existing relationships with clients, maintaining personal networks and participating in business and professional organizations.
Contributes to internal and external thought leadership pieces, technical training, and webinars.
Involved in recruiting experienced professionals to build team; provides leadership, supervision, coaching, training and performance feedback to staff.
Collaborate as needed with other practice areas of the firm.
Maintains compliance with project budgets, turnaround times, and deadlines.



Who You Are
You have a Bachelor's degree in Accounting, or a related field required; Master's or J.D. with LL.M. in Taxation preferred.
You have a background in either C or S corporation taxation; 10+ years of relevant experience in M&A / corporate taxation.
CPA and/or licensed attorney required.
You have strong legal research abilities.
You have the ability to interpret and analyze case-law, IRS rulings, IRC, and Regulations
You have a strong interest to perform effective tax writing.
You demonstrate a commitment to exceptional client service.
You are skilled in networking and developing business.
You are able to work in a team environment and manage multiple concurrent projects to ensure timely delivery and quality work.
Must be authorized to work in the United States now or in the future without visa sponsorship.
Benefits and Compensation
Our compensation philosophy emphasizes competitive and equitable pay. Eide Bailly complies with all local/state regulations regarding displaying salary ranges. Final compensation decisions are dependent upon factors such as geography, experience, education, skills, and internal equity.
Salary Range: $150,000 - $250,000
